1. The seller

ControlPoint EduOS is operated by Ccidence Service Limited ("we", "us", "our"). By using the service you are entering into an agreement with Ccidence Service Limited.

2. Acceptance

By creating an account or continuing to use ControlPoint EduOS you agree to these Terms of Service. If you are using the service on behalf of a school or organisation, you confirm you have the authority to bind that entity.

3. The service

ControlPoint EduOS is an AI-powered school operating system covering admissions, academics, fees, attendance, communications, and parent engagement. We may add, change, or remove features over time.

4. Acceptable use

You must not: (a) use the service unlawfully; (b) engage in fraud, spam, or abuse; (c) infringe intellectual property rights; (d) interfere with security (including malware, probing, or unauthorised scraping); or (e) attempt to reverse-engineer or resell the service.

5. AI features

The service includes generative AI features (AI Teacher Assistant, report card drafting, executive briefings, and similar). You are responsible for your prompts, for reviewing outputs, and for confirming that any content you submit does not infringe third-party rights. AI outputs may be inaccurate and are not a substitute for professional judgement in regulated contexts (e.g. medical, legal, financial advice). We reserve the right to filter, refuse, or restrict outputs and to suspend accounts for prohibited use, including illegal content, deepfakes, hate speech, malware, and jailbreaking.

6. Intellectual property

We retain all rights, title, and interest in the ControlPoint EduOS software, documentation, and branding. You retain ownership of the content you upload; you grant us a limited licence to host and process it solely to provide the service.

7. Service level

We work to keep the service available, but we do not guarantee uninterrupted or error-free performance.

8. Payments and subscriptions

Subscriptions are invoiced directly by Ccidence Service Limited each term, by bank transfer or card. Payment, billing, tax, cancellation and refund mechanics are governed by these Terms and our Refund Policy.

9. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, you may export your data for a reasonable period before it is deleted.

10. Warranties and liability

To the fullest extent permitted by law, we disclaim implied warranties of merchantability and fitness for a particular purpose. Our aggregate liability is limited to the fees you paid in the twelve months preceding the claim. We are not liable for indirect, consequential, or special damages including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where prohibited by law.

11. Changes

We may update these Terms from time to time. Continued use of the service after an update constitutes acceptance of the revised Terms.
